Terms of Service
These Terms of Service form an agreement between GradeVideo ("GradeVideo," "we," "us," or "our") and the person or organization using our website, application, review links and related services (the "Service"). "You" includes an organization when you act on its behalf.
By creating an account, purchasing a plan or using the Service, you agree to these terms. If you do not agree, do not use the Service. A person accepting for an organization must have authority to bind it. A separate signed agreement controls where it conflicts with these terms. A data processing agreement, if agreed, controls conflicting terms about the processing of personal data.
1. Eligibility, accounts and authority
You must have legal capacity to enter this agreement to create an account or purchase a plan. Authorized users who do not have that capacity may use the Service only under the supervision and permission required by law. Children under 13 must not create accounts or directly submit personal information through review links.
Provide accurate registration and billing information and keep it current. Protect your credentials, do not share a personal sign-in between users, and report suspected unauthorized access promptly. You are responsible for activity you authorize through your account and for the people you permit to use your workspace, subject to applicable law.
Workspace administrators control membership, permissions and project access. If an employer, client or school provides your access, it may administer your workspace records and remove your access. You must resolve internal authority and ownership disputes with that organization. We may require evidence of authority before changing account control.
Schools must authorize student use, obtain required permissions and determine whether the Service is suitable for their intended use. These terms do not establish compliance with education or children's privacy laws. Contact us before a use that requires special agreements or safeguards.
2. Service access and plan limits
We give you a limited, non-exclusive, non-transferable right to use the Service for its intended purposes while you comply with these terms. Your plan, checkout or order identifies the features, seats, storage, usage limits and billing conditions you purchase. A feature shown for another plan is not included unless your order says it is.
You must not evade limits through shared accounts, repeated trial accounts or other workarounds. We may enforce the limits of your plan and ask you to reduce usage or purchase additional capacity. We will not impose an undisclosed usage price retroactively. Free access, trials and beta features may have separate disclosed limits and may change or end.
3. Ownership and permission to process content
"Your Content" means files, video, audio, images, comments, drawings, metadata and other material you or your authorized users submit. You keep the rights you hold in Your Content. Uploading it does not transfer ownership to GradeVideo.
You grant GradeVideo a non-exclusive, worldwide license to host, store, copy, process, transcode, transmit and display Your Content only as needed to provide, support and secure the Service, follow your instructions and sharing settings, and meet legal obligations. We may permit our service providers to perform those tasks on our behalf. The license includes generating outputs from media features you request.
This license does not give us a general right to use Your Content in advertising or to train general-purpose AI models on it. A separate use requires a separate permission. The license lasts while Your Content is retained for the permitted purposes, including any lawful retention after account closure described in our Privacy Policy.
You must own or have the rights needed to submit, process and share Your Content. This includes copyright, music, performer, location, confidentiality and privacy permissions where applicable. Do not upload content that violates a client agreement, another person's rights or the law. You are responsible for your content and instructions; we do not clear rights for you.
4. Review links, decisions and backups
You choose who can access Your Content and which link controls to use. A link recipient may forward the link, download permitted files or make copies. Passwords, expiry, watermarking and DRM, where available, reduce certain risks but cannot prevent every form of copying or disclosure. You must use controls appropriate for the material you share.
Comments, requests for changes and approvals record a user's action on a version. They are not a guarantee of that user's legal authority or a replacement for a signed client agreement. You remain responsible for final delivery, rights clearance, quality control and any formal approval required for your work.
Keep an independent copy of files and records you need to preserve. The Service is a review and delivery tool and is not your sole archive. A browser review does not replace a calibrated reference display when one is required. Picture and sound can vary with the source, processing, browser, device, display and listening environment.
5. Acceptable use
You must not use the Service to:
- Break the law, infringe intellectual property, violate privacy or disclose information you have no right to share.
- Distribute malware, facilitate fraud, impersonate another person, or send spam or deceptive messages.
- Post unlawful threats, exploitative content, child sexual abuse material or material that unlawfully promotes violence.
- Access another person's workspace without permission, bypass authentication or payment controls, or evade a restriction we impose.
- Disrupt the Service, overload its infrastructure, extract content without authorization or interfere with other customers.
- Reverse engineer restricted parts of the Service except where applicable law permits that activity despite this restriction.
- Submit regulated or highly sensitive data that requires safeguards or agreements we have not expressly agreed to provide.
We may investigate suspected violations, limit access, remove material or report unlawful activity as permitted or required by law. We do not promise to review all uploads or discover every violation. Report abuse or a security concern to hello@gradevideo.com.
6. Rights complaints
If you believe content violates your rights, send us the relevant review URL, a description of the content, the right involved, your contact information and evidence of your authority to make the complaint. For a copyright complaint, identify the protected work and the allegedly infringing material. Include a statement that you believe the use is unauthorized and that the information you supply is accurate.
We may request more information, restrict access while reviewing a complaint, and notify the account holder when appropriate. We may terminate accounts for repeated infringement. Do not submit a false or misleading complaint. This contact process does not limit any formal notice or remedy available under applicable law.
7. Prices, subscriptions and usage charges
The price, currency, billing period and conditions shown at checkout or in your order apply. Unless your order says otherwise, subscriptions renew automatically for the stated billing period until canceled. You authorize our payment provider to collect recurring charges and any separately disclosed charges you authorize. You are responsible for applicable taxes, excluding taxes on GradeVideo's income.
Seats, capacity and automated media features can affect charges as disclosed in your plan or billing flow. Usage charges may be billed after the activity that created them. Starting an authorized processing job can incur a charge even if you later stop using its output. Review the applicable rate and limits before starting paid work.
Keep a valid payment method on file and ensure the billing administrator is authorized to act for the workspace. If a payment fails, we may request an updated method and suspend paid functions or access after reasonable notice where practical. Report a suspected billing error promptly so we can investigate. This does not shorten a right to dispute a charge under applicable law.
8. Cancellation, refunds and price changes
You can manage cancellation through the billing portal where available or contact hello@gradevideo.com. Unless your order or applicable law provides otherwise, cancellation takes effect at the end of the current paid period. You remain responsible for charges already incurred, including usage not yet invoiced. Stopping use, deleting a project or removing a member does not itself cancel a subscription.
Except as required by law or expressly agreed, fees are non-refundable and unused time or capacity is not credited. Any mandatory cancellation, withdrawal or refund right remains available. Canceling a subscription does not request deletion of all account or project information.
We will give advance notice of a change to recurring prices before it applies to a renewal. You can cancel before that renewal if you do not accept the new price. An existing paid period is not repriced retroactively without your agreement.
9. Automated media features and external services
Automated features may produce captions, translations, summaries, moderation results or other outputs. Those outputs can be inaccurate, incomplete or unsuitable for a particular use. Check them before publication, delivery or a decision that affects another person. You are responsible for having the rights needed to process the input and use the output. We do not promise that generated material is unique or free from third-party rights.
Features can depend on external providers and their availability. Services you connect directly can have their own terms and privacy practices. We are not responsible for your separate agreement with those services. Our own provider relationships do not remove duties we owe you under applicable law or a signed agreement.
10. Privacy and service intellectual property
Our Privacy Policy explains personal information processing, access, retention and privacy requests. Our subprocessor table lists Cloudflare, Stripe, Mux and PostHog and their roles. You must have a lawful basis for personal information you submit and for the instructions you give us.
GradeVideo and its licensors retain rights in the Service, software, designs, documentation and branding. These terms grant only the service access described above. Do not remove ownership notices or present our trademarks as your own. Open-source components remain subject to their applicable licenses.
If you voluntarily send suggestions about the Service, we may use them without payment or an obligation to adopt them. This permission applies to the suggestion itself and does not expand our license to Your Content or waive an agreed confidentiality obligation.
11. Availability and changes to the Service
We may update features, fix errors and interrupt access for maintenance, security or provider issues. We do not promise uninterrupted service, a specific uptime level or a service credit unless a separate agreement states one. Beta or preview functions may change and may have defects.
Where practical, we will give reasonable advance notice of a material reduction in a paid service or a planned shutdown so you can arrange an export. We may act immediately for a security risk, legal requirement or serious misuse. No notice provision requires us to continue unlawful or unsafe operations.
12. Suspension, closure and content export
You can stop using the Service, cancel paid subscriptions and request account closure. We may suspend or terminate access for a material breach, unpaid charges, a legal requirement or a material security or abuse risk. Where practical, we will give notice and an opportunity to correct a breach. We may act immediately when delay could cause harm or violate the law.
Suspension or closure may prevent access to files and review records. Where lawful and practical, we will help you arrange an export of content you are authorized to access. Request it before closure; we do not promise indefinite storage or recovery of deleted files. Retention and deletion follow our Privacy Policy and any applicable processing agreement.
Termination does not cancel fees already incurred or remove obligations that must continue to have effect. Content rights, lawful retention, payment obligations, intellectual property, disclaimers, liability limits, indemnity and dispute terms survive as applicable.
13. Warranty disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will meet every requirement, be error-free, preserve every file, or prevent every unauthorized act.
These disclaimers do not override an express warranty in a signed agreement or a guarantee that applicable law does not permit us to exclude. You retain all mandatory consumer rights.
14. Limits of liability
To the extent permitted by law, GradeVideo is not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, revenue, business opportunities, goodwill or data, arising from the Service or this agreement. This applies regardless of the legal basis of the claim and whether we were told that such losses could occur.
Our total aggregate liability for claims arising from the Service or this agreement is limited to the fees you paid to GradeVideo for the Service in the 12 months before the event giving rise to the claim. Multiple claims do not increase that limit.
These exclusions and limits do not apply where law prohibits them, including liability for fraud, willful misconduct or other liability that cannot lawfully be excluded or limited. They do not restrict a mandatory consumer remedy. A separate signed agreement can provide different limits.
15. Business customer indemnity
If you use the Service for a business or organization, you will defend and indemnify GradeVideo against third-party claims and resulting damages, settlements and reasonable legal fees arising from Your Content, your infringement of another person's rights, or your unlawful use of the Service. This obligation does not cover a claim caused by GradeVideo's own breach, negligence or misconduct.
We will give prompt notice of a claim, provide reasonable cooperation at your expense, and allow you to control the defense with suitable counsel. A settlement must not admit fault for GradeVideo, impose an obligation on it or fail to release it without our written consent. We may participate with our own counsel at our expense. This section does not impose a business indemnity on an individual using the Service solely as a consumer.
16. Governing law and disputes
Texas law governs this agreement, without applying conflict-of-law rules, except where mandatory law requires otherwise. For business customers, disputes must be brought in the state courts in Denton County, Texas, or the federal courts with jurisdiction there. Each party accepts the jurisdiction of those courts.
Contact hello@gradevideo.com with the facts and requested resolution so we can try to resolve a dispute. This does not prevent urgent relief, require you to miss a filing deadline or remove a mandatory right to bring a claim in another court. Nothing in these terms requires arbitration or waives a mandatory consumer protection.
17. General terms and notices
We are not responsible for delay caused by events beyond our reasonable control, subject to applicable law. You may not transfer this agreement without our written consent, except as permitted by law. We may transfer it as part of a merger, reorganization or sale of the relevant business, provided the successor assumes our obligations.
If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of later enforcement. These terms and the applicable order or signed agreement form the agreement about the Service and replace prior statements on the same subject. No provision creates a partnership, employment relationship or agency between you and GradeVideo.
We may send account, billing and legal notices to your registered email address or through the Service. Keep that address current. Send notices to GradeVideo at hello@gradevideo.com, with enough information to identify the account and issue.
18. Changes to these terms
We will update the date on this page when these terms change and provide notice of material changes. Changes apply prospectively from the stated effective date and do not rewrite a dispute that arose before that date. We will seek additional acceptance when applicable law requires it.
If you do not accept updated terms, stop using the Service and cancel any subscription before the change takes effect. Mandatory rights and any controlling signed agreement remain in force.
